(NASDAQ:TYSNA) confirmed today that the United States District Court for the Western District of Virginia on June 21, 1994 had denied Tyson's motion for a preliminary injunction on the limited issue of whether certain directors of WLR Foods, Inc. (NASDAQ:WLRF), and their associates held "interested" shares for purposes of the Virginia Control Share Act, and accordingly permitted the votes of those directors and their associates to stand at the special meeting of WLR Foods, Inc.'s shareholders held on May 21, 1994. The District Court did not rule upon the constitutionality of the Virginia Statutory Scheme, which regulates takeovers of Virginia corporations and includes the Virginia Control Share Act. Nor did the Court rule on whether the WLR Board has breached its fiduciary duties, including in connection with its adoption of a poison pill and golden parachutes in response to Tyson's offer to merge with WLR. Tyson has challenged the constitutionality of the Virginia Statutory Scheme in the District Court, and a hearing on that challenge is scheduled for July 7, 1994. In its opinion, the District Court noted that its ruling was limited in scope and that "[o]ther issues are saved for another day." At a prior court hearing in the case, District Court Judge James H. Michael, Jr., to whom the case is assigned, referred to the constitutional issues as potentially being among "the dispositive issues in the case." Although Tyson is disappointed with the Court's ruling concerning whether WLR's directors were eligible to vote at the May 21, 1994 special meeting, the Court's interpretation of the Virginia Control Share Act to permit the manipulations that have been undertaken by WLR directors only strengthens Tyson's conviction that the courts should ultimately strike down the Control Share Act and the other parts of the Virginia Statutory Scheme regulating takeovers.
