ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers;

On July 26, 2005, at a regularly scheduled meeting, the board of directors of Capital Corp of the West regretfully accepted the resignation of Director Roberto Salazar. Director Salazar’s decision to resign was based on his personal desire to have more time available to pursue other interests. In the near future, the Board of Directors will begin the search for a suitable replacement.
