Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Effective November 10, 2005, Robert Miodunski was elected to the Company’s board of directors. Mr. Miodunski served as President and Chief Executive Officer of Alliance Gaming Corporation from 1999 through 2004. From 1994 to 2002, Mr. Miodunski served as President of United Coin Machine Company. Mr. Miodunski will serve as a member of the board’s compliance committee.
