Item 8.01. Other Events.

On May 12, 2011, Exelon Corporation (Exelon) and Constellation Energy Group, Inc. (Constellation) filed an application with the Nuclear Regulatory Commission (NRC) for the indirect transfer of Constellation Energy nuclear licenses associated with the companies’ proposed merger announced by the companies on April 28, 2011. On February 16, 2012, the NRC issued a series of orders approving the indirect transfer of certain nuclear licenses to Exelon in connection with the proposed merger.

A copy of the press release concerning the NRC approval is attached as Exhibit 99.1.
