On March 10, 2010, KSW, Inc. issued a press release announcing that its Board of Directors has declared a cash dividend of $.10 per share, payable on May 24, 2010 to shareholders of record as of April 26, 2010.  A copy of the press release is furnished as Exhibit 99.1 to this report and is incorporated herein by reference.
