Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 3, 2019, Mr. Steven W. Schnur was promoted from his current role as Senior Regional Executive Vice President to the role of Executive Vice President and Chief Operating Officer of Duke Realty Corporation, an Indiana corporation (the “Company”).

Mr. Schnur, age 45, has served as Senior Regional Executive Vice President of the Company since May 2017. Prior to being named Senior Regional Executive Vice President, Mr. Schnur served as Executive Vice President, Central Region from January 2015 until May 2017; Senior Regional, Senior Vice President from August 2014 until January 2015; Senior Vice President, Midwest Region from December 2013 until August 2014; and Senior Vice President, Chicago from October 2004 until December 2013. Mr. Schnur began his career with the Company as a Vice President, Leasing in September 2003. Prior to that, Mr. Schnur was Director of Real Estate for Opus North Corporation.

In connection with Mr. Schnur’s service as Executive Vice President and Chief Operating Officer, he will be paid a base salary of $485,000, with a target annual incentive bonus of 130% of his base salary and a long-term equity-based incentive award of 240% of his base salary.

There are no family relationships between Mr. Schnur and any director or executive officer of the Company, there is no arrangement or understanding between Mr. Schnur and any other person pursuant to which he was selected as an officer, and there are no relationships or related transactions between Mr. Schnur and the Company that would be required to be reported under Item 404(a) of Regulation S-K.

On September 4, 2019, the Company issued a press release announcing the appointment of Mr. Schnur as Executive Vice President and Chief Operating Officer. The entire text of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
