This Amendment No. 3 (this “Amendment No. 3”) amends and supplements the Tender Offer Statement on Schedule TO initially filed with the Securities and Exchange Commission (the “SEC”) by MSC Industrial Direct Co., Inc., a New York corporation (“MSC”), on July 7, 2016, as amended and supplemented by Amendment No. 1 to the Tender Offer Statement on Schedule TO filed with the SEC on July 28, 2016 and Amendment No. 2 to the Tender Offer Statement on Schedule TO filed with the SEC on August 5, 2016 (as it may be further amended or supplemented from time to time, the “Schedule TO”), pursuant to Rule 13e-4 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), in connection with MSC’s offer to purchase for cash up to $300.0 million of shares of its Class A common stock, $0.001 par value per share (the “Shares”), pursuant to (i) auction tenders at prices specified by the tendering shareholders of not less than $66.00 and not more than $72.50 per Share, or (ii) purchase price tenders, in either case, net to the seller in cash, less any applicable withholding taxes and without interest (the “Offer”), upon the terms and subject to the conditions described in the Offer to Purchase, dated July 7, 2016 (the “Offer to Purchase”), a copy of which was previously filed as Exhibit (a)(1)(A) to the Schedule TO, and in the related Letter of Transmittal (the “Letter of Transmittal”), a copy of which was previously filed as Exhibit (a)(1)(B) to the Schedule TO.
This Amendment No. 3 is intended to satisfy the reporting requirements of Rule 13e-4(c)(4) promulgated under the Exchange Act. The information contained in the Offer to Purchase and the Letter of Transmittal is hereby incorporated by reference into this Amendment No. 3, except that such information is hereby amended and supplemented to the extent specifically provided herein.

MSC ANNOUNCES
FINAL RESULTS OF
SELF-TENDER OFFER
MELVILLE, NY and DAVIDSON, NC, August 10, 2016 – MSC INDUSTRIAL SUPPLY CO. (NYSE: MSM), “MSC” or the “Company,” a premier distributor of Metalworking and Maintenance, Repair and Operations supplies to industrial customers throughout North America, announced today the final results of its “modified Dutch auction” tender offer for up to $300 million of its Class A common stock at a price per share not less than $66.00 and not greater than $72.50, which expired at 5:00 p.m., New York City time, on August 4, 2016.
Based on the final count by the depositary for the tender offer, a total of 3,821,279 shares of the Company’s Class A common stock were validly tendered and not validly withdrawn at or below the price of $72.50 per share. Since the tender offer was not fully subscribed, no proration was required and all shares validly tendered and not validly withdrawn were accepted for purchase at the same purchase price of $72.50 per share. As such, the Company accepted for purchase a total of 3,821,279 shares of the Company’s Class A common stock at a purchase price of $72.50 per share, for a total cost of approximately $277.0 million, excluding fees and expenses related to the tender offer. These shares represent approximately 6.2% of the Company’s total outstanding common stock as of August 1, 2016. The depositary for the tender offer will promptly pay for the shares accepted for purchase pursuant to the tender offer.
As previously announced, on July 5, 2016, the Company entered into a stock purchase agreement with the holders of the Company’s Class B common stock under which such shareholders agreed not to participate in the tender offer and the Company agreed to purchase from such shareholders following completion of the tender offer, a pro rata number of shares at the same price per share as will be paid by the Company in the tender offer, such that their percentage ownership and voting power in the Company would remain substantially the same as prior to the tender offer. The closing of the purchase under the stock purchase agreement is subject to customary conditions and is expected to occur on August 19, 2016, the eleventh business day following the expiration date of the tender offer, or on such later date as the parties shall mutually agree. Based on the 3,821,279 shares the Company accepted for purchase in the tender offer, the Company expects to purchase 1,152,049 shares from the Class B shareholders under the stock purchase agreement at a purchase price of $72.50 per share for an aggregate purchase price of approximately $83.5 million. As such, the Company expects to repurchase a total of 4,973,328 shares of its Class A common stock through the tender offer and the stock purchase agreement at a price of $72.50 per share, for a total cost of approximately $360.6 million, excluding fees and expenses. These shares represent approximately 8.1% of the Company’s total outstanding common stock as of August 1, 2016.
The dealer managers for the tender offer were J.P. Morgan Securities LLC and Credit Suisse Securities (USA) LLC. Georgeson LLC served as the information agent for the tender offer and Computershare served as the depositary for the tender offer.
