Item 8.01 Other Events.

On January 6, 2006, Zoran Corporation (the “Company”) issued a press release announcing that it had filed with the Securities and Exchange Commission a Tender Offer Statement under Section 14(d) or 13(e) of the Securities and Exchange Act of 1934 on Schedule TO relating to an offer to its employees and employees of certain of its subsidiaries to exchange certain outstanding stock options for shares of restricted stock or restricted stock units. Members of the board of directors, executive officers, and employees who are Canadian residents or employees of the Company’s Canadian subsidiary are not eligible to participate in the offer. The full text of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
