Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2010, Russell T. Kronengold, Ph.D., the Vice President of Biomaterials Research of Kensey Nash Corporation (the “Company”), submitted his resignation to pursue other opportunities. Dr. Kronengold’s resignation will be effective on February 15, 2010, and does not entitle him to receive any severance benefits under his employment agreement with the Company.
