(b)     On September 17, 2007, Gail Walsh tendered her resignation as Vice President, Global Sales of Tollgrade Communications, Inc. (the “Company”), such resignation to be effective September 28, 2007. Ms. Walsh was a named executive officer in the last proxy statement filed by the Company.
