Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 1, 2014, Richard S. Cremona gave notice of his decision to resign from his position as Senior Vice President and Chief Operating Officer of Westell Technologies, Inc. (the “Company”). Mr. Cremona's resignation is effective as of July 8, 2014. Richard S. Gilbert, Chairman of the Board, Chief Executive Officer and President of the Company will assume the responsibilities of Mr. Cremona.
