Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 13, 2012, the Board of Directors of Learning Tree International, Inc. (the “Company”) appointed Jamie Donelan as the Company’s Interim Principal Financial Officer and Corporate Secretary.

Ms. Donelan, age 57, is currently the Company’s Corporate Controller and she has held that position since August 2007. Previously, Ms. Donelan has served as Corporate Controller at several other public companies and also worked as an audit manager at Arthur Andersen.
