Item 5.02.  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On March 22, 2007, the Board of Directors of SPACEHAB, Incorporated (the “Company”), acting on the recommendation of the Compensation Committee of the Board, approved a plan to pay the Company’s President and Chief Executive Officer, Thomas B. Pickens, III a monthly salary of $30,000 retroactive to January 2, 2007.

Mr. Pickens and the Company continue to evaluate a mutual agreement with regard to a compensation package and as such he currently receives no incentive or equity compensation.
