Explanatory Note

This Form 8-K/A is filed by TG Therapeutics, Inc. (“TG” or the “Company”) to correct Item 2.02 of the Current Report on Form 8-K dated May 4, 2015, which originally reported the Company would host an investor conference call at 8:30am EST. This conference call with occur at 8:00am EDT on May 5, 2015.

Item 2.02.

Results of Operations and Financial Condition.

On May 4, 2015, TG Therapeutics, Inc. (“TG” or the “Company”) issued a press release announcing results of operations for the first quarter ended March 31, 2015. TG also announced that on Tuesday, May 5, 2015 at 8:00am EDT, TG would host an investor conference call during which the Company would provide a brief financial overview of its first quarter financial results and provide a business outlook for the remainder of 2015. A copy of such press release is being furnished as Exhibit 99.1.
