under IDX Systems Corporation 1995 Stock Option Plan.
  The option becomes exercisable in 25 percent increments of 25,000 each on
January 14, 2003, January 14, 2004, January 14, 2005 and
 January 14, 2006.  The plan pursuant to which the reported option was granted
provides for tax withholding rights.
