         The Company's management has been devoting substantially all of its
         time and attention to the resolution of certain financial matters,
         which resolution may affect the Company's disclosure in its Annual
         Report on Form 10-K. The Company anticipates resolving these matters
         within fourteen days, at which time the Company intends to file its
         Form 10-K.
