Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


    On December 19, 2008, Imperial Capital Bancorp, Inc. (the “Company”) and Norval L. Bruce, Vice Chairman of the Company, mutually agreed that Mr. Bruce would retire as an executive officer of the Company effective December 31, 2008.  Mr. Bruce will remain a director of the Company and continue to serve as Vice Chairman.  Mr. Bruce's retirement is the culmination of a two-year transition plan, during which period of time Phillip E. Lombardi, Executive Managing Director of the Company, assumed Mr. Bruce's daily responsibilities as Chief Credit Officer.
