PART III -- NARRATIVE

         Core Laboratories N.V. (the "Company") is filing this Form 12b-25 with
respect to its annual report on Form 10-K for the year ended December 31, 2002
as it is in the process of restating its financial statements with respect to
the first three quarters of 2002. The Company has filed a Form 8-K setting forth
the reasons for the restatement. These quarterly changes will also be reflected
in the footnotes to the financial statements in the Form 10-K for the year ended
December 31, 2002. As a result, the Company was not able to complete its
financial statements for the year ended December 31, 2002 without unreasonable
effort or expense. The Company expects to file its annual report for the fiscal
year ended December 31, 2002 on or before April 15, 2003. The Company also
expects to file Form 10-Q/A with respect to the first three quarters of 2002 on
or before April 15, 2003.
