ITEM 8.01. OTHER EVENTS.

On July 29, 2014, the Board of Directors of Medallion Financial Corp. (the “Company”) authorized management to repurchase up to $20,000,000 of the Company’s common stock (the “Current Stock Repurchase Program”). On May 29, 2015, the Company purchased a total of 10,281 shares of common stock at a cost of $99,082, or $9.59 per share, inclusive of brokerage commissions and fees. As of May 29, 2015, $13,263,383 remains available for future stock repurchases under the Current Stock Repurchase Program. Since the inception of the Company’s original stock repurchase program in November 2003, a total of 2,242,039 shares have been repurchased at a cost of $20,708,590, for an average cost of $9.24 per share.
