OTHER EVENTS.

On July 29, 2014, the Board of Directors of Medallion Financial Corp. (the “Company”) authorized management to repurchase up to $20,000,000 of the Company’s common stock pursuant to its previously authorized stock repurchase program. In the period covering November 26, 2014 to November 28, 2014, the Company purchased a total of 122,077 shares of common stock at a cost of $1,269,052, or $10.40 per share. As of November 28, 2014, a total of 1,702,692 shares had been repurchased under the program at a cost of $15,244,456, for an average cost of $8.95 per share. As of November 28, 2014, $18,730,948 remains available for future stock repurchases.
