OTHER EVENTS.

Medallion Financial Corp. (the “Company”) publicly announced its stock repurchase program in a press release dated November 5, 2003, after the Board of Directors approved the repurchase of up to $10,000,000 of its outstanding common stock, which was increased by an additional $10,000,000 authorization on November 3, 2004 when the Company approached its initial authorization limit. In the period covering May 25, 2010 to June 9, 2010, the Company purchased a total of 48,525 shares of common stock at a cost of $341,010, or $7.04 per share. As of June 9, 2010, a total of 1,442,649 shares had been repurchased under the program at a cost of $13,022,000, for an average cost of $9.03 per share. As of June 9, 2010, $6,978,000 remains available for future stock repurchases.
