Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On February 9, 2010, the Compensation Committee (the “Committee”) of the board of directors of Medallion Financial Corp. (the “Company”) approved fiscal year 2010 base salaries of $499,500 for Alvin Murstein, Chief Executive Officer, $935,000 for Andrew M. Murstein, President, $249,150 for Larry D. Hall, Senior Vice President and Chief Financial Officer, $278,848 for Michael J. Kowalsky, Executive Vice President and $305,023 for Brian S. O’Leary, Executive Vice President and Chief Operating Officer. The Committee also approved fiscal year 2009 cash bonuses of $75,000 to Mr. Hall and $70,000 to Mr. O’Leary.

The Committee’s compensation recommendations were thereafter unanimously approved by the Company’s board of directors.
