ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

 

On September 6, 2005, Medallion Financial Corp. (“Medallion”) entered into a First Amendment of Lease (the “Amendment”) which amended its Indenture of Lease, dated October 31, 1997 (the “Lease”), by and between Medallion and Sage Realty Corporation, to lease Medallion’s office space located at 437 Madison Avenue, New York, New York. Under the terms of the Amendment, the term of the Lease was extended to June 30, 2016. The Amendment also provides for an option for an additional extension of the Lease for a term of five years. For the period commencing on July 1, 2006 and continuing through June 30, 2011, the annual rate of rent will be $910,875. For the period commencing on July 1, 2011 and continuing through the balance of the Lease term, the annual rate of rent will be $962,925.
