Item 5.07. Submission of Matters to a Vote of Security Holders

Western Digital Corporation (“Western Digital” or the “Company”) held a Special Meeting of Shareholders on March 15, 2016. At the special meeting, shareholders approved the issuance of the Company’s common stock under the Agreement and Plan of Merger, dated as of October 21, 2015 (the “Merger Agreement”), among Western Digital, Schrader Acquisition Corporation, a Delaware corporation (“Merger Sub”) and SanDisk Corporation, a Delaware corporation (“SanDisk”).

At the close of business on February 3, 2016, the record date for the determination of shareholders entitled to vote at the Special Meeting, there were outstanding 232,722,217 shares of the Company’s common stock entitled to vote at the Special Meeting and a total of 190,876,653 shares (82.01%) were represented at the meeting in person or by proxy. For more information on the following proposals, see the proxy statement/prospectus filed by the Company and SanDisk on February 5, 2016.

The results of the meeting were as follows:

Proposal 1: To approve the issuance of Western Digital common stock in connection with the merger (the “Merger”) of Merger Sub with and into SanDisk with SanDisk continuing as the surviving corporation and as a direct wholly owned subsidiary of Western Digital Technologies, Inc., which is a wholly owned subsidiary of Western Digital, to the extent such issuance would require approval under NASDAQ Stock Market Rule 5635(a) (the “NASDAQ Stock Issuance Proposal”):
