Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On November 29, 2006, the Chinese government approved a 50-year lease by SanDisk Corporation (“SanDisk”) of land and the construction of and equipment for a captive assembly and test manufacturing facility in the Zizhu Science Park near Shanghai, China. SanDisk’s anticipated commitment for this project is approximately $170 million, of which approximately $100 million is expected to be paid over the next 12 months.
