On September 30, 2021, Robin Hastings informed Nicholas Financial, Inc. (the “Company”) of his decision to resign from the Company’s Board of Directors (the “Board”) including from his position as Chair of the Audit Committee, effective the same day. The Company’s Nominating/Corporate Governance Committee of the Board is in the process of evaluating a potential replacement for Mr. Hastings.
