The Registrant is unable to file its Form 20-F for the fiscal year ended December 31, 2023 within the prescribed time period without unreasonable effort or expense because additional time is needed to finalize the financial statements for the fiscal year ended December 31, 2023. The Registrant anticipates that it will file its Form 20-F within the fifteen-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

The Registrant’s total revenues from continuing operations were estimated to decrease by approximately $3.2 million, or 50%, to approximately $3.2 million for the fiscal year ended December 31, 2023, from approximately $6.5 million for the year ended December 31, 2022.

 

The Registrant’s total cost of revenues was estimated to decrease by approximately $2.6 million, or 47%, to approximately $3.0 million for the fiscal year ended December 31, 2023, from approximately $5.7 million for the fiscal year ended December 31, 2022.

 

The Registrant’s gross profit was estimated to decrease by approximately $0.6 million, or 74%, to approximately $0.2 million for the fiscal year ended December 31, 2023, from approximately $0.8 million for the fiscal year ended December 31, 2022.

 

The Registrant’s total net loss was estimated to amount to approximately $16.1 million for the fiscal year ended December 31, 2023, and amounted to approximately $15.4 million for the fiscal year ended December 31, 2022.

 

The amounts reported above are still under review by the Registrant’s independent registered public accounting firm and accounting staff and may differ once reported in the Form 20-F to be filed by the Registrant.
