Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 3, 2024, the Governance and Nominating Committee of the Board of Directors of Knowles Corporation (the “Company”) accepted the resignation of Erania Brackett as a Director, effective September 13, 2024. Ms. Brackett tendered her resignation in accordance with the Company’s Corporate Governance Guidelines as a result of a substantial change in her principal position of employment. Ms. Brackett’s resignation was not the result of any dispute or disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
