Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(d)     Appointment of New Director

On January 28, 2021, FS Bancorp, Inc. (the “Company”), and its financial institution subsidiary, 1st Security Bank of Washington (the “Bank”), announced that their Boards of Directors had appointed Ms. Pamela Andrews to their respective Boards of Directors effective January 28, 2021.  The appointment of Ms. Andrews as a Director of the Company and the Bank was at the recommendation of the Company’s Nominating and Environmental, Social, Governance (ESG) Committee.  Ms. Andrews has been appointed to serve on the Company’s Nominating & ESG Committee and the Bank’s Asset Quality Committee.  For further information concerning Ms. Andrews’ background, reference is made to the press release dated February 1, 2021, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.

There are no family relationships between Ms. Andrews and any director or other executive officer of the Company and the Bank and Ms. Andrews was not appointed as a director pursuant to any arrangement or understanding with any person.  Ms. Andrews has not engaged in any transaction with the Company, or the Bank that would be reportable as a related party transaction under the rules of the Securities and Exchange Commission, except that one of Ms. Andrews’ related businesses has an outstanding credit line with the Bank.  The credit line was made in the ordinary course of business, on substantially the same terms, including interest rate and collateral, as those prevailing at the time for comparable transactions with persons not affiliated with the Bank, and do not involve more than the normal risk of collectability or present other unfavorable features.
