Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 30, 2024, Ms. Lainie Minnick informed Ares Real Estate Income Trust Inc. (referred to herein as the “Company,” “we,” “our,” or “us”) that she will step down as the Company’s Head of Debt Capital Markets for personal reasons. The effective date of Ms. Minnick’s resignation has not yet been determined, as Ms. Minnick intends to remain with the Company for the time being to assist with this transition.
