Explanation of Responses:

1. These shares of restricted common stock of eMerge Interactive, Inc. ("eMerge") were issued on July 29, 2005 with vesting scheduled to occur on the earliest of 18 months from date of issue, the date of restructuring or change in control of eMerge or the participant's death or disability. On January 26, 2007, prior to the shares vesting, the vesting schedule was amended to the earliest of March 30, 2007, the date of restructuring or change in control of eMerge or the participant's death or disability. Due to eMerge's subsequent filing for protection under Chapter 11 of the U.S. Bankruptcy Code on February 14, 2007 and the notification from Nasdaq that the common stock will be delisted effective February 27, 2007, these shares of restricted common stock have been terminated.
