Item 1.01 Entry into a Material Definitive Agreement.

On October 14, 2010, The Princeton Review, Inc. (the “Company”) entered into Amendment No.1 (the “Amendment”) to the Contribution Agreement, dated as of April 20, 2010, by and among the Company, The National Labor College, a Delaware not-for-profit corporation (“NLC”), and NLC-TPR Services, LLC, a Delaware limited liability company (“Services LLC”), to, among other things, provide for an extension of the period during which NLC can act to satisfy its initial regulatory funding condition under the Contribution Agreement. In connection with such extension, the Amendment also delays the timing of certain of the Company’s capital contributions to Services LLC, an entity formed in connection with the Company’s strategic relationship with NLC.
