Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As disclosed on our Current Report on Form 8-K filed on June 28, 2024, we received a deficiency letter from the listing qualifications staff (the “Staff”) of Nasdaq notifying us that, for the last 30 consecutive business days, the closing bid price of our common stock was below the minimum $1.00 per share required for continued listing on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2). In accordance with Nasdaq Listing Rule 5810(c)(3)(A), we were given until December 23, 2024, to regain compliance with Rule 5550(a)(2).
On December 5, 2024, we received written notification from Nasdaq notifying us that we had regained compliance with Nasdaq Listing Rule 5550(a)(2) as a result of the closing bid price of our common stock being at $1.00 per share or grater for the last 10 consecutive business days. Accordingly, we are now in compliance with Nasdaq Listing Rule 5550(a)(2) and Nasdaq considers the matter closed.
