These Technical Specifications describe the valid structure and content for EDGAR submission types to be submitted in:

  • XBRL (eXtensible Business Reporting Language)
  • XML (eXtensible Markup Language)

In addition, filers are reminded that they must comply with the requirements of the EDGAR Filer Manual.
 

XBRL Technical Specifications

The EDGAR XBRL Guide sets forth detailed technical specifications of XBRL formatting and validation for EDGAR submissions.

Form submission files must conform to the relevant EDGAR form-specific submission taxonomy. Each taxonomy comprises a collection of XML Schema Definition (.xsd) files that defines the structure of the relevant EDGAR form submission.

This specification provides the basis for creating the submission types for SBSEF XML submissions. Filers must use this technical specification to generate a SBSEF XML submission that can be successfully parsed by the EDGAR system.

The SBSEF submission file must conform to the EDGAR SBSEF Submission Taxonomy. This taxonomy is comprised of a collection of XML Schema Definition (.xsd) files that define the structures of EDGAR SBSEF submissions.

The EDGAR SBSEF Submission can be transmitted to the SEC via the EDGAR FilerWeb (https://www.edgarfiling.sec.gov/) or the “Transmit XML Submission” option from the EDGAR OnlineForms/XML Website (https://www.onlineforms.edgarfiling.sec.gov).

This specification provides the basis for creating the aforementioned submission types for Schedule 13D and 13G XML submissions. Filers must use this technical specification to generate a Schedule 13D and 13G XML submission that can be successfully parsed by the EDGAR system.

The Schedule 13D or 13G submission file must conform to the EDGAR Schedule 13D and 13G Submission Taxonomy. This taxonomy is comprised of a collection of XML Schema Definition (.xsd) files that define the structures of EDGAR Schedule 13D and 13G submissions.
