EDGAR Filer Manual (Volume I) General Information (Version 11)

Volume I, General Information, covers the EDGAR application process, outlines how to keep company data current and provides a brief introduction to the filing process. Volume I is intended to be a reference for those that need to obtain EDGAR access, those that are new to EDGAR, and those that are responsible for keeping company information current.
Volume I was revised to support the following changes:
- Filers may now select an additional Applicant Type, 'Municipal Advisor', when completing the process to apply for EDGAR access (New) on the EDGAR Filer Management website (https://www.filermanagement.edgarfiling.sec.gov). The applicant types 'Investment Company (or insurance product separate account) or Business Development Company' and 'Non-Investment Company Applicant under the 1940 Act' will be renamed to 'Investment Company, Business Development Company or Insurance Company Separate Account' and 'Non-Investment Company Applicant under the Investment Company Act of 1940', respectively.

EDGAR Filer Manual (Volume II) EDGAR Filing (Version 18)

EDGAR Filer Manual (Volume II), EDGAR Filing, focuses entirely on the filing process. It illustrates each step of the process to submit an electronic submission and helps filers understand the tools provided by the SEC for constructing and transmitting those submissions. This volume is intended to be a reference for those that are responsible for submitting filings to the SEC via the EDGAR system.
On November 21, 2011, EDGAR Release 11.3 introduced the following changes:
- Submission form type ABS-15G and ABS-15G/A have been updated based upon Final Rule 15Ga-1, as adopted. See Final Rule Release No. 33-9175. The maximum size of each HTML document attached within ABS-15G and ABS-15G/A submission must not exceed 25 MB.
- The OMB expiration date on Form TA-W has been updated to July 31, 2014.
- Submission form types 10-KT, 10-KT/A, 10-QT, 10-QT/A and POS AM have been added to the list of form types recognized for Interactive Data.
- The link:roleType:definition text is clarified to require {Type} to be equal to 'Disclosure', 'Document', 'Schedule' or 'Statement'.
- Filings containing the EX-101 XBRL documents will undergo the following additional validations:
- EX-101.INS document included with submission form type POS AM can have the element dei:DocumentType with content equal to F-1, F-3, F-4, F-9, F-10, S-1, S-3, S-4, S-11, POS AM or 'Other'.
- EX-101.INS documents will require all elements used to have US English standard labels.
- EX-101.INS documents will require all non-English non-empty (after trimming XML whitespace) facts to have corresponding US English variants.
- New sections have been added to the Chapter 9 of Volume II to provide instructions on how to file Form 13H using EDGAR Filing Website.
- Form 13H has been updated to allow maximum of 1000 characters for Item 1(b).
- Appendix A.5 has been updated to make corrections to the list of errors and warnings.
There will be a minor .dot release, EDGAR Release 11.3.1, that will be deployed after Release 11.3 to implement additional XBRL validation changes. On December 12, 2011, the following changes will be introduced:
- EX-101.INS documents will require four digit xs:gYear values.
- For EX-101.SCH documents, the xsd:complexType, or xsd:simpleType name attribute in UTF-8 must be less than 200 bytes of UTF-8 text. The content for targetnamespace, roleURI or arcroleURI attribute in UTF-8 must not exceed 255 bytes in length. For EX-101.INS documents, the local name part of the content for xbrli:measure:element must be less than 200 bytes of text.
- EX-101.INS will allow distinct values for all outstanding common share classes instead of requiring a single value for dei:EntityCommonStockSharesOutstanding of annual financial statements.
The Filer Manual was revised to address software changes made previously in EDGAR. On September 26, 2011, EDGAR Release 11.2.3 introduced the following change:
- Submission form types SC 14N, SC 14N-S, and their amendments were made available for use on EDGARLink Online. Form 8-K Item 5.08 (Shareholder Director Nominations) was also made available for use on submission form types 8-K, 8-K12B, 8-K12G3, 8-K15D5 and their amendments.
On September 12, 2011, EDGAR Release 11.2.2 introduced the following change:
- Submission form types 13F-HR and 13F-NT and their amendments were updated to accept March 31, June 30, September 30, or December 31 as valid dates for the Period field. A future date will still be not allowed for the Period field.
On August 29, 2011, EDGAR Release 11.2.1 introduced the following change:
- EDGARLink Online was updated to allow filers to replace files with the same name without a need to delete the old files to add a new.
