Virtual Private Marketplace, Ltd., Gary L. Moody, Steven R. Moody, and Billpay Systems LLC

On October 24, 2002, the SEC obtained Final Judgments against the defendants in connection with the alleged fraudulent sale of investment contracts. The SEC alleged that the Moodys lured investors to send their funds to Virtual Private Marketplace and Billpay Systems by promising short-term astronomical returns that would enable investors to receive coupons for use at various retail stores. The SEC claimed that in actuality investor funds were never placed in any income-generating investments. On July 28, 2005, the Court appointed the Attorney General of the State of Utah as the Distribution Agent to distribute the funds disgorged by the defendants, approximately $30,886, to those persons deemed by the Attorney General to be eligible claimants. Most investors have already submitted information to the Attorney General. Before distributions can be made, the Court has ordered the SEC to provide this notice on its website.

If you have not provided the Attorney General with a Distribution Claim Form, please fill out the attached Form and send it to the address indicated on the Form. Please submit the Form by January 27, 2006. Forms postmarked after that date may not be considered.
