1. Shares of common stock ("Common Stock") of Corporate Resources Services, Inc. ("CRS") transferred from TS Employment, Inc. (3) to Tri-State Employment Services, Inc. ("TSE")(3), both companies solely owned by Robert Casssera as a part of a reorganization of Mr. Cassera's holdings.
2. Shares of Common Stock of CRS granted by TSE to John P. Messina, Sr, Executive Vice-President of TSE and President, Chief Executive Officer and Chairman of the Board of Directors of CRS.
3. The corporation is solely owned by the Reporting Person.
4. Options granted by Corporate Resources Services, Inc. to purchase shares of its common stock
