Agrium extends exchange offer for CF Industries to March 22, 2010

February 19, 2010 - ALL AMOUNTS ARE STATED IN U.S.$

CALGARY, Alberta — Agrium Inc. (TSX and NYSE: AGU) today announced that it has extended the expiration date of its offer to acquire CF Industries Holdings, Inc. (NYSE: CF) for $45.00 in cash plus one Agrium share per CF share until 12:00 midnight, New York City time, on March 22, 2010.

Agrium President and CEO Mike Wilson said, “Agrium remains fully committed to acquiring CF and will proceed with the nomination of two highly qualified, independent individuals to CF’s board of directors. The recent Yara merger agreement with Terra illustrates the important benefits of being part of a larger, global company. We believe CF will recognize this as well, despite the fact that CF has so far ignored a clear mandate from its own shareholders to execute a mutually beneficial merger agreement with us. We continue to believe that Agrium and CF combined will create an excellent company and deliver significant value for all stockholders.”

As of 5:00 p.m., New York City time, on February 18, 2010, approximately 12.5 million shares of CF’s outstanding common stock had been tendered into and not withdrawn from the exchange offer.
