Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 21, 2015, Washington Federal, Inc (NASDAQ: WAFD) (the "Company") announced that the Company's Chief Financial Officer Diane Kelleher has tendered her resignation to pursue other opportunities. Ms. Kelleher intends to remain with the Company through December 31, 2015 to assist in year-end financial activities. Executive Vice President and Chief Banking Officer Brent Beardall, who previously served as the Company's Chief Financial Officer from October 2003 to March 2014, will add the position of Interim Chief Financial Officer while the Company searches for Ms. Kelleher's replacement.
