This Amendment No. 1 (this “Amendment”) to the Issuer Tender Offer Statement on Schedule TO (the “Schedule TO”) is filed by The PMI Group, Inc., a Delaware Corporation (the “Company”), and relates to an offer by the Company to exchange $1,000 principal amount of a new series of the Company’s 2.50% Senior Convertible Debentures due 2021 (the “New Securities”) and an exchange fee of $3.50 for each $1,000 principal amount of validly tendered and accepted outstanding 2.50% Senior Convertible Debentures due 2021 of the Company (the “Old Securities”) upon the terms and subject to the conditions contained in the prospectus, subject to amendment, dated July 18, 2006 (as may be amended and supplemented from time to time, including as amended on August 4, 2006, the “Prospectus”) and the related Letter of Transmittal, which are parts of the Company’s Registration Statement on Form S-4 (File No. 333-135579), as amended on August 4, 2006 (the “Registration Statement”) and which are incorporated herein by reference. This Amendment amends and supplements the Schedule TO-I filed by the Company on July 18, 2006 as set forth below. This Amendment is intended to satisfy the disclosure requirements of Section 13(e) of the Securities Exchange Act of 1934, as amended.

 

Item 10. Financial Statements

Item 10 is hereby amended to add the following:

 

  (a)(5) The information on pages 1 through 29 of the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2006 is incorporated herein by reference in partial answer to Item 10 of this Issuer Tender Offer Statement.

 

  (a)(6) At June 30, 2006, the Company’s book value per share was $38.11.

 

  (a)(7) The Company’s ratio of earnings to fixed charges for the six months ended June 30, 2006 was 14.93x and was 9.59x for the six months ended June 30, 2005.

 

       For purposes of the ratio of earnings to fixed charges, “earnings” represent income from continuing operations before income taxes plus fixed charges. Income does not include equity earnings in unconsolidated subsidiaries less than 50% owned. “Fixed charges” represent interest expense plus that portion of rent expense that, in the Company’s opinion, approximates the interest factor included in rent expense plus distributions on redeemable capital securities. As of the date hereof, the Company does not have preferred stock outstanding.
