FIRST: Under a power contained in Article FIFTH of the charter (the “Charter”) of the Corporation, and pursuant to Sections

2105(c), 2-208 and 2-208.1 of the Maryland General Corporation Law, the Board of Directors of the Corporation, by resolutions duly adopted at a meeting duly called and held, increased the aggregate number of shares of stock that the Corporation has authority to issue from 22,850,000,000 shares of Common Stock, par value $.001 per share (“Common Stock”), to 28,850,000,000 shares of Common Stock, and classified and designated such additional 6,000,000,000 authorized but unissued shares of Common Stock (the “Additional Shares”) as follows:

1. 500,000,000 Additional Shares are classified and designated as shares of iShares Dow Jones Asia/Pacific Select Dividend 30 Index Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

2. 500,000,000 Additional Shares are classified and designated as shares of iShares Dow Jones Emerging Markets Select Dividend Index Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

3. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI Global Agriculture Producers Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

4. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI Global Energy Producers Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

5. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI Global Gold Miners Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other

distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

6. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI Global Metals & Mining Producers Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

7. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI Global Silver Miners Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

8. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI EFM Africa ex South Africa Index Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

9. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI Emerging Markets Energy Sector Capped Index Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.

10. 500,000,000 Additional Shares are classified and designated as shares of iShares MSCI Frontier Emerging Markets APEX Index Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.
