Item 5.03

Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 22, 2019, the Board of Directors of McKesson Corporation (“Company”) approved amendments to the Company’s By-Laws, effective May 22, 2019. Article II section 3(b) of the By-Laws was amended to reduce from 25% to 15% the percentage Net Long Beneficial Ownership of the Company’s outstanding common stock that is required to call a special meeting of the Company’s stockholders. Article III was amended to correct cross-references to section 13 of that Article.
