Explanation of Responses:

1. On August 9, 2007, the reporting person contributed 1,500,000 shares of NewMarket common stock to a grantor retained annuity trust for the benefit of himself and his three adult children. In connection with the termination of the trust on August 9, 2009, 618,552 shares were transferred to the reporting person's children. The remaining 454,972 shares were distributed to the reporting person and continue to be reported in this Form 4 as directly owned.
