TO

ARTICLES OF INCORPORATION

The undersigned officer of BMO Funds, Inc. (the “Corporation”) hereby certifies that in accordance with Section 180.1002 of the Wisconsin Statutes, the following Amendment to the Corporation’s Articles of Incorporation, as amended (the “Articles”), was duly adopted to (i) create the A series of shares for the BMO Small-Cap Growth Fund and (ii) remove the Marshall International Stock Fund as a class of the Corporation.

“The Articles are hereby amended as follows:

Section (a) of Article IV is hereby amended by deleting section (a) thereof and inserting the following as a new paragraph:

‘(a)              The Corporation is authorized to issue an indefinite number of shares of common stock, par value $.0001 per share. Subject to the following paragraph, the authorized shares are classified as follows:

This Amendment to the Articles of Incorporation of the Corporation was adopted by the Board of Directors on February 8, 2017 with respect to the creation of the A series of shares for the BMO Small-Cap Growth Fund in accordance with Section 180.1002(8) and 180.0602(1)(a) and (b) of the Wisconsin Statutes. Shareholder approval was not required. Prior to this amendment, none of the A series of shares of the BMO Small-Cap Growth Fund has been issued.

This Amendment to the Articles of Incorporation of the Corporation was adopted by the Board of Directors on November 2, 2011 with respect to the liquidation of the Marshall International Stock Fund and by shareholders of the Marshall International Stock Fund on December 23, 2011 in accordance with Section 180.1003 of the Wisconsin Statutes.
