Explanation of Responses:

1. This amount includes 45,344 shares of restricted stock issued by the Company. On 6/1/12 and 6/1/13 2,500 shares will become unrestricted; on 2/17/13, and 2/17/14 531 shares will become unrestricted and on 2/17/15 532 shares will become unrestricted; on 2/16/13, 2/16/14, 2/16/17 937 shares will become unrestricted and on 2/16/18 939 shares will become unrestricted; on 2/16/18, 2/16/19, 2/16/20, 2/16/21 and 2/16/22 7,000 shares will become unrestricted.

2. Maximum number of transactions reported on this table has been reached, however reporting person has the option to purchase 8,500 shares of common stock. These shares vest 2,125 shares on 2/17/12, 2/17/13, 2/17/14 and 2/17/15. The shares expire on 2/17/21. The share price is $18.85. Also reporting per has the option to purchase 4,000 shares of common stock. These shares vest 1,000 shares on 2/16/13, 2/16/14,2/16/15 and 2/16/17. These shares expire on 2/16/2012. The share price is $18.78.
