Explanation of Responses:

1. The securities reported on this Form 4 are owned by Fiat North America LLC, which is a wholly-owned subsidiary of Fiat Group Automobiles S.p.A., which is a wholly-owned subsidiary of Fiat S.p.A. Fiat Group Automobiles S.p.A. and Fiat S.p.A. are indirect beneficial owners of the reported securities.

2. Fiat North America LLC acquired the securities by exercising in full its call option to acquire an incremental 16 percent fully diluted ownership interest in Chrysler Group LLC (the "Company") granted to it under the Company's limited liability company operating agreement, at an aggregate exercise price of $1.268 billion.

Remarks:

Each of Fiat S.p.A., Fiat Group Automobiles S.p.A. and Fiat North America LLC is a director by deputization.
