EXPLANATORY NOTE
On April 25, 2013, the stockholders of Baker Hughes Incorporated (the "Company") approved an amendment to the Baker Hughes Incorporated Employee Stock Purchase Plan (the "Plan"), increasing the total number of shares of Common Stock that may be issued under the Plan by 8,000,000 shares.     This Registration Statement is being filed pursuant to General Instruction E of Form S-8 under the Securities Act of 1933, as amended.
