Explanation of Responses:

1. The reporting person no longer has a reporting interest in 44 shares of issuer's common stock owned by one emancipated family member which were included in the reporting person's prior ownership report.

2. Disclaims beneficial ownership.

3. The units are to be settled 100% in cash and vest upon termination of employment in the case of retirement or disability, upon death in the event of death, or upon a change of control in the event of a change of control. Benefits are payable after vesting on various dates depending upon whether there was termination of employment as a result of retirement, disability, or death or there was a change of control.
