Explanation of Responses:

1. On October 19, 2008, restrictions lapsed with respect to 15,555 shares of restricted stock held by Ms. Kaminsky. Pursuant to the terms of her restricted stock award, she elected to have the Company withhold 7,117 of such shares in order to satisfy the resulting tax withholding obligation. As a result, as of that date Ms. Kaminsky held 27,221 restricted shares of the Company's common stock and 26,394 shares of the Company's common stock. (On September 5, 2008, there was a 2-for-1 split of the Company's common stock, resulting in Ms. Kaminsky owning an additional 21,388 shares of restricted stock and 8, 978 shares of the Company's common stock.)

2. Ms. Kaminsky's holdings in the Company's securities are held in the Bogen Family Trust. She continues to hold those securities as her sole and separate property and does not share voting or investment power with respect thereto.
