Item 8.01Other Events.
On August 23, 2019, Valley National Bancorp (“Valley”) issued a press release reporting the receipt of regulatory approval from the Office of the Comptroller of the Currency on August 22, 2019 to complete the previously announced merger of Oritani Financial Corp. (“Oritani”) with and into Valley.
The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The merger remains subject to regulatory action by the Board of Governors of the Federal Reserve System among other conditions, including approval by the shareholders of both Valley and Oritani.
